License Agreement

This License Agreement governs your use of digital craft files purchased from Jute Polace Corp, including SVG cut files, sublimation designs, embroidery patterns, and other digital products. By purchasing and downloading any of our files, you agree to the terms and conditions outlined in this agreement.

1. Grant of License

Upon purchase and full payment, Jute Polace Corp grants you a non-exclusive, non-transferable, and revocable license to use the digital files in accordance with the terms specified herein. This is a license agreement, not a sale. You do not own the files themselves; you are purchasing the right to use them under the conditions of this license.

This license is granted to the individual or business entity that made the purchase and cannot be transferred, sold, sublicensed, or shared with others without express written permission from Jute Polace Corp.

2. Scope of License

2.1 Personal Use Rights

You are granted unlimited rights to use the digital files for personal, non-commercial purposes, including:

• Creating items for yourself, your home, or as gifts for friends and family
• Personal craft projects and hobby activities
• Educational or learning purposes
• Portfolio or demonstration purposes (with proper credit to Jute Polace)

2.2 Small Business Commercial Use Rights

Unless otherwise specified in the product description, our standard license permits limited commercial use for small businesses and individual sellers. Under this license, you may:

• Create and sell up to 500 physical finished products per design using our digital files
• Use our designs to create products for sale at craft fairs, farmers markets, pop-up shops, and similar venues
• Sell finished products through online marketplaces such as Etsy, eBay, Amazon Handmade, and similar platforms
• Offer finished products through your own website or e-commerce store
• Accept custom orders and create made-to-order items using our designs
• Incorporate our designs into your handmade products and finished goods

The 500-unit limit applies per individual design file. If you purchase multiple designs, each design has its own 500-unit limit.

2.3 Modifications and Derivatives

You are permitted to modify, resize, recolor, and customize our digital files for your own use or to create finished physical products. However:

• You may NOT sell, share, or distribute the modified digital files
• You may NOT claim modified versions as your own original designs
• You may NOT register modified versions for copyright, trademark, or design patent protection
• You MAY sell physical products created using modified versions of our files, subject to the usage limits in your license

3. Prohibited Uses and Restrictions

You expressly agree that you will NOT:

3.1 Digital File Distribution

• Resell, redistribute, share, gift, or transfer our digital files in any form (original or modified)
• Share download links or provide file access to any third party
• Upload files to file-sharing services, torrent sites, or cloud storage with public access
• Include our digital files in any digital product bundle, template pack, or design collection
• Offer our files as bonuses, freebies, or giveaways
• Use our files in any subscription service, membership site, or recurring revenue model that provides access to the digital files themselves

3.2 Intellectual Property Claims

• Claim ownership or authorship of our designs
• Apply for copyright, trademark, patent, or any other intellectual property protection for our designs
• Remove, alter, or obscure any copyright notices, watermarks, or attribution included in the files
• Reverse engineer, decompile, or attempt to extract source elements from our files beyond normal editing

3.3 Mass Production and Manufacturing

• Use our files for mass production or manufacturing exceeding 500 units per design without an extended commercial license
• License or sublicense our designs to manufacturers, factories, or production facilities
• Use our files in partnership with wholesale distributors or retail chains without an extended license

3.4 Print-on-Demand Platforms

• Upload our designs to print-on-demand platforms where the design file itself can be accessed, downloaded, or used by others (such as Printful Mockup Generator public library, Redbubble public designs, etc.)
• Our files MAY be used with print-on-demand services for private, direct-to-consumer sales where you maintain full control over the design files

3.5 Digital Products and NFTs

• Create NFTs (non-fungible tokens) or blockchain-based digital assets using our designs
• Use our designs to create digital products such as phone wallpapers, digital planners, printable art, or clip art for resale
• Incorporate our designs into software, apps, websites, or digital platforms where the design can be extracted or reused

3.6 Offensive or Harmful Use

• Use our designs to create materials that are unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Create products that promote hatred, violence, discrimination, or illegal activities
• Use our files in any manner that violates the rights of others or applicable laws

4. Extended Commercial License

If your intended use exceeds the scope of our standard small business license, you must purchase an extended commercial license. Extended licenses are available for:

4.1 High-Volume Production

• Manufacturing or selling more than 500 physical units per design
• Mass production for wholesale or retail distribution
• Partnership with manufacturers or production facilities

4.2 Print-on-Demand Services

• Using designs on print-on-demand platforms with unlimited public availability
• Platforms where the design becomes part of a public marketplace

4.3 Corporate and Institutional Use

• Use by corporations, large businesses, or institutions with multiple users
• Internal branding, promotional materials, or employee merchandise programs
• Use in commercial advertising or marketing campaigns

4.4 Licensing to Third Parties

• Sublicensing designs to clients, partners, or other businesses
• Agency use on behalf of multiple clients

5. Intellectual Property Ownership

Jute Polace Corp retains all ownership rights, title, and interest in and to the digital files, including all intellectual property rights. This includes but is not limited to copyrights, trademarks, trade secrets, and design rights.

The purchase of a license grants you specific usage rights as outlined in this agreement but does not transfer any ownership or intellectual property rights to you. All rights not expressly granted in this License Agreement are reserved by Jute Polace Corp.

6. Attribution and Credit

While not required, we appreciate attribution when you use our files to create products for sale or public display. You may credit Jute Polace in your product descriptions, social media posts, or marketing materials with statements such as:

• "Design by Jute Polace"
• "Made with files from Jute Polace"
• "Digital design courtesy of Jute Polace Corp"

However, you must NOT imply that Jute Polace Corp endorses, sponsors, or has a partnership with your business unless you have a formal written agreement with us.

7. License Duration and Termination

This license is effective upon purchase and payment and continues indefinitely unless terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this agreement.

7.1 Termination by Jute Polace

Jute Polace Corp reserves the right to terminate your license at any time if we determine that you have violated the terms of this agreement. Grounds for termination include but are not limited to:

• Unauthorized distribution or sharing of digital files
• Exceeding usage limits without obtaining an extended license
• Intellectual property infringement or misrepresentation
• Use of files for prohibited purposes
• Fraud, chargebacks, or payment disputes

7.2 Effect of Termination

Upon termination of this license:

• You must immediately cease all use of the digital files
• You must delete all copies of the files in your possession
• You may continue to sell any physical products you created before termination (existing inventory), but you may not create new products using the files
• Termination does not entitle you to a refund
• Jute Polace Corp may pursue legal remedies for ongoing violations

8. File Support and Updates

Jute Polace Corp provides reasonable technical support for file downloads, format compatibility, and basic usage questions. However:

• We do not provide one-on-one design tutorials or personalized instruction on how to use crafting software or equipment
• We are not responsible for learning curves associated with your software or machines
• Support is provided on a best-effort basis and is not guaranteed
• We may update or modify files to fix errors or improve quality, but we are not obligated to provide updated versions to previous purchasers

9. Warranty Disclaimer

The digital files are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness

Jute Polace Corp does not warrant that the files will meet your specific requirements, be error-free, or be compatible with all software versions and hardware configurations. We make no guarantees regarding the final results of products you create using our files, as outcomes depend on materials, equipment, skill level, and other factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Jute Polace Corp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the digital files, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or files
• Cost of substitute goods or services
• Damage to equipment or property
• Personal injury or emotional distress

In no event shall our total liability to you exceed the amount you paid for the specific file(s) giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jute Polace Corp, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the digital files
• Your violation of this License Agreement
• Your violation of any third-party rights, including intellectual property rights
• Any products you create, sell, or distribute using our files

12. Transfer Restrictions

This license is personal to you (or your business entity) and may not be assigned, transferred, or sublicensed to any other person or entity without prior written consent from Jute Polace Corp. Any attempted transfer without consent is void and will result in immediate termination of the license.

Exceptions:

• If your business is acquired or merged, the license may transfer with written notification to Jute Polace Corp
• Business name changes or entity restructuring do not void the license, but you must notify us of the change

13. Governing Law and Jurisdiction

This License Agreement shall be governed by and construed in accordance with the laws of the State of Montana, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to this agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Missoula County, Montana. You and Jute Polace Corp agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Severability

If any provision of this License Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This License Agreement, together with our Terms of Service, Privacy Policy, and any other policies referenced herein, constitutes the entire agreement between you and Jute Polace Corp regarding the use of our digital files and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

16. Amendments and Updates

Jute Polace Corp reserves the right to modify this License Agreement at any time. Changes will be effective immediately upon posting on our website with an updated "Last Updated" date. Licenses granted prior to changes will remain subject to the terms in effect at the time of purchase, unless the changes are required by law.
